Momentus Inc. (NASDAQ:MNTS) ("Momentus" or the "Company"), a U.S. commercial space company that offers satellite buses, transportation, and other in-space infrastructure services, today announced that it has entered into a securities purchase agreement with a single U.S. institutional investor for the purchase and sale of 5,000,000 shares of common stock (or common stock equivalents in lieu thereof) at a purchase price of $0.55 per share pursuant to a private placement offering, resulting in total gross proceeds of approximately $2.75 million, before deducting placement agent commissions and other estimated offering expenses. The Company further agreed to issue to the investor Class A Common Warrants to purchase up to an aggregate of 10,000,000 shares of common stock and Class B Common Warrants to purchase up to an aggregate of 5,000,000 shares of common stock, together the Common Warrants. The Class A Common Warrants will have an exercise price of $0.575, will be exercisable at any time on or after the date that is six months after the original issuance date and will expire on the five year and six-month anniversary of the original issuance date. The Class B Common Warrants will have an exercise price of $0.575, will be exercisable at any time on or after the date that is six months after the original issuance date and will expire on the 18-month anniversary of the original issuance date.
The closing of the offering is expected to occur on or about September 17, 2024, subject to the satisfaction of customary closing conditions.
